1. Acceptance of Terms

By accessing or using the Juahaki AI platform (“Service”), including our WhatsApp-based legal assistant, web portal, and all related services operated by McDorcis Solutions (“Company,” “we,” “us”), you agree to be bound by these Terms of Service (“Terms”).

If you do not agree to these Terms, you must not access or use the Service. Your continued use of the Service constitutes acceptance of any updated Terms.

2. Service Description

Juahaki AI is an AI-powered legal information platform that provides:

• AI Legal Chat: Automated legal information via WhatsApp in English and Swahili, covering Kenyan law including the Constitution, Acts of Parliament, and regulations.
• Document Generation: Automated creation of legal documents (tenancy agreements, demand letters, employment contracts, etc.) based on user-provided information.
• Advocate Referral: Connection to LSK-verified advocates for matters requiring professional legal representation.
• Organization Portal: A web-based dashboard for organizations to manage documents, team members, and subscriptions.

3. Eligibility

You must be at least 18 years of age to use this Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms under the laws of Kenya.

4. User Accounts

To access certain features, you may need to create an account by providing your phone number, email address, or other registration details. You are responsible for:

• Maintaining the confidentiality of your account credentials.
• All activities that occur under your account.
• Ensuring all information provided is accurate and current.
• Notifying us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of Kenyan law.
• Attempt to reverse-engineer, decompile, or extract the AI model or underlying algorithms.
• Use automated tools, bots, or scripts to access the Service beyond normal WhatsApp usage.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Share, resell, or redistribute AI-generated responses or documents for commercial purposes without authorization.
• Submit fraudulent payment requests or attempt to manipulate the billing system.
• Harass, abuse, or send threatening content through the platform.

6. Legal Information Disclaimer

While we strive for accuracy by grounding responses in Kenyan legislation, regulations, and case law:

• Laws change, and our database may not reflect the most recent amendments.
• Every legal situation is unique and may require professional assessment.
• AI-generated responses may contain errors or omissions.
• Court interpretation of laws may vary from the information provided.

For matters involving court proceedings, criminal charges, significant financial transactions, child custody, or any situation where legal consequences are possible, you should always consult a licensed advocate.

7. Payments & Billing

Payment Methods: All payments are processed via M-Pesa (Safaricom) through the Daraja API. By making a payment, you authorize us to initiate an STK Push to your registered M-Pesa number.

Pricing: Our pricing structure includes:

• Free tier: Limited questions per month at no cost.
• Pay-per-use: Individual questions charged at current published rates.
• Subscriptions: Monthly plans with unlimited questions and additional features.
• Document generation: Charged per document at published rates.

Refunds: Payments for successfully delivered services (AI responses, generated documents) are generally non-refundable. Refunds may be issued at our discretion in cases of service failure, duplicate charges, or system errors. Refund requests must be submitted within 7 days of the transaction.

Price Changes: We reserve the right to modify pricing with 30 days' notice to active subscribers.

8. Intellectual Property

The Service, including its AI models, legal knowledge base, user interface, branding, and all related technology, is the intellectual property of McDorcis Solutions and is protected under Kenyan and international copyright, trademark, and intellectual property laws.

You retain ownership of the personal information you provide. We grant you a limited, non-exclusive, non-transferable license to use AI-generated responses and documents for your personal or organizational legal matters.

9. Document Generation

Documents generated through Juahaki AI are created based on templates reviewed by legal professionals and the information you provide. You acknowledge that:

• The accuracy of generated documents depends on the accuracy of information you provide.
• Generated documents are templates and may require review by a licensed advocate before execution.
• We do not guarantee that generated documents will be accepted by any court, tribunal, or government body.
• Generated documents are available for download for a limited period as specified at the time of generation.

10. Advocate Services

When the Service connects you with an advocate:

• The advocate is an independent legal professional, not an employee or agent of Juahaki AI or McDorcis Solutions.
• Any engagement with an advocate is a separate legal relationship governed by the Advocates Act.
• We facilitate the connection but are not responsible for the quality, outcome, or conduct of advocate services.
• Advocate fees are separate from Juahaki AI service fees and are agreed upon between you and the advocate.

11. Privacy & Data Protection

Your use of the Service is also governed by our Privacy Policy, which details how we collect, use, and protect your personal data in compliance with the Kenya Data Protection Act, 2019.

12. Limitation of Liability

To the maximum extent permitted by Kenyan law:

• The Service is provided “as is” without warranties of any kind, whether express or implied.
• We do not warrant that the Service will be uninterrupted, error-free, or completely accurate.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
• Our total liability for any claim arising from the Service shall not exceed the total amount you paid to us in the 12 months preceding the claim.
• We are not liable for any losses resulting from reliance on AI-generated legal information or documents.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, including for violation of these Terms. Upon termination:

• Your right to use the Service ceases immediately.
• We may delete your account data in accordance with our Privacy Policy and data retention schedule.
• Any outstanding payment obligations survive termination.
• You may request export of your personal data prior to termination, in accordance with your rights under the Data Protection Act.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Kenya, with Nairobi as the preferred venue.

15. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via:

• A notice on the Service or website.
• A WhatsApp message to registered users.
• Email notification to users with registered email addresses.

Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
